Welcome to North Armoury. The terms "we", "us" and "our" refer to North Armoury. North Armoury operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). North Armoury is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your province, territory, state or other jurisdiction of residence, or that you have the consent required by applicable law to use the Services.

To use the Services, including accessing or browsing our online store or purchasing any products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment and shipping information. You represent and warrant that all information you provide is correct, current and complete and that you have all rights necessary to provide this information.

You are responsible for maintaining the security of your customer account and account access information, including any one-time login codes. You may not transfer, sell, assign or license your account to another person.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to provide accurate descriptions and representations of our products and services. Colours, proportions or product appearance may differ from how they appear on your screen because of the device, display settings or configuration you use.

We do not guarantee that a product's appearance will be identical to photographs or other representations displayed online.

All product descriptions, specifications, availability and prices are subject to change without notice. We reserve the right to discontinue a product or limit the quantity of products offered to any person, geographic region or jurisdiction where appropriate.

Historical fencing, combat-sport and training activities involve risk. Protective equipment may reduce risk but cannot eliminate it. Customers are responsible for selecting equipment appropriate to their intended activity, using products in accordance with applicable manufacturer guidance, regularly inspecting equipment for damage or wear, and training with appropriate care and supervision.

Nothing in these Terms limits any warranty, condition, right or remedy that cannot lawfully be excluded or limited under applicable law.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. North Armoury reserves the right to accept or decline an order where permitted by law. Your order is not accepted until North Armoury confirms acceptance and any required payment has been successfully processed or authorized.

Please review your order carefully before submitting it. We may be unable to accommodate cancellation or modification requests after an order has been accepted or entered fulfillment.

If we decline, change or cancel an order, we will attempt to notify you using the contact information supplied with the order.

North Armoury does not accept returns. Eligible products may be exchanged only in accordance with our Exchange Policy, as posted on the Site.

Unless otherwise agreed with North Armoury, purchases made through the online store are intended for the customer's own use and not for unauthorized commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts and promotions may change without notice. The price charged for a product or service will be the price applicable when the order is placed and will be shown during checkout or in your order confirmation.

Unless expressly stated otherwise, posted product prices do not include applicable taxes, shipping, handling, customs duties, import charges, brokerage fees or other destination-related charges.

Prices offered through the North Armoury online store may differ from prices offered through other sales channels, events or third-party marketplaces.

We may offer promotions governed by additional terms and conditions. If specific promotion terms conflict with these Terms, the specific promotion terms will govern that promotion.

You agree to provide current, complete and accurate purchase, payment and account information. Where relevant, you agree to update information required for us to complete your transactions or contact you.

You represent that you are authorized to use the payment method submitted for a purchase and agree to pay the applicable purchase price, shipping charges, taxes and other charges disclosed in connection with the transaction.

SECTION 5 - SHIPPING AND DELIVERY

Shipping, delivery and local pickup are subject to our Shipping & Local Pickup Policy as posted on the Site.

Shipping and delivery times are estimates and may depend on product availability, destination, the selected shipping service, customs processing and factors outside North Armoury's reasonable control.

Customers are responsible for providing a correct and complete shipping address. Additional shipping costs resulting from incorrect or incomplete address information may be charged to the customer.

International orders may be subject to customs duties, taxes, brokerage fees or other charges imposed by the destination country or shipping carrier. Unless otherwise stated, these charges are the customer's responsibility.

Nothing in this section affects rights or remedies that cannot be excluded under applicable consumer protection law.

SECTION 6 - INTELLECTUAL PROPERTY

Our Services, including trademarks, branding, text, displays, images, graphics, video, audio, product information and the design, selection and arrangement of the Services, are owned by North Armoury, its licensors or other respective rights holders and are protected by Canadian and other applicable intellectual-property laws.

These Terms permit you to use the Services for personal, non-commercial purposes. Except where permitted by applicable law or expressly authorized by North Armoury, you must not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store or transmit protected material from the Services.

Nothing in these Terms grants you any licence or other rights to the intellectual property of North Armoury, Shopify or any third party except as expressly stated.

North Armoury's names, logos, product and service names, designs and slogans are trademarks or identifiers belonging to North Armoury or their respective rights holders and may not be used without permission where such permission is legally required.

Shopify's name, logos, product and service names, designs and slogans are trademarks of Shopify. Other names, logos and marks appearing through the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

You may be provided with access to tools offered by third parties as part of the Services that we do not control.

You acknowledge that access to such tools may be provided "as is" and "as available" without warranties, representations or conditions from North Armoury except where applicable law requires otherwise.

Your use of optional third-party tools is subject to the terms applicable to those tools. You should review those terms before using them.

We may offer new features, tools or resources through the Services in the future. Such features will also form part of the Services and be subject to these Terms unless otherwise stated.

Questions or claims concerning products or services purchased directly from a third party should be directed to that third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

North Armoury is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with North Armoury.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and North Armoury, including any injury, damage or loss resulting from purchased products and services.

You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with North Armoury.

SECTION 10 - PRIVACY POLICY

Personal information we collect through the Services is handled in accordance with the North Armoury Privacy Policy available on the Site. Certain personal information may also be processed by Shopify in accordance with Shopify's applicable privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes certain information concerning access to and use of the Services in order to provide and improve the Shopify platform.

Information submitted through the Services may be transmitted to Shopify and to service providers or partners located in countries other than your country of residence. Please review our Privacy Policy for further information about how personal information is collected, used and disclosed.

SECTION 11 - FEEDBACK

If you submit, upload, post, email or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans or other content to us ("Feedback"), you grant North Armoury a worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in connection with our business and Services, subject to applicable law.

You represent that you own or have the necessary rights to submit the Feedback and that your Feedback does not unlawfully infringe another person's intellectual-property, privacy, personality or other rights.

You are responsible for the Feedback you submit and its accuracy.

We may moderate, edit or remove Feedback that we reasonably determine violates these Terms, applicable law, or the rights of another person.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

The Services may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, shipping charges, transit times, specifications or availability.

Where permitted by applicable law, we reserve the right to correct such errors or omissions and update information.

If an error affects an order you have already submitted, we will handle the order and any required correction in accordance with applicable law.

You may use the Services only for lawful purposes.

Agents must not conceal that automated access is taking place or attempt to circumvent measures designed to distinguish automated use from human use.

Where an Agent accesses the Services, it must comply with technical identification requirements communicated by the Services and must not circumvent CAPTCHAs, access restrictions or other security or authorization measures.

You remain responsible for amounts properly owing for purchases made before termination.

To the fullest extent permitted by applicable law, North Armoury and its affiliates, partners, officers, employees, agents, contractors, service providers and licensors will not be liable for indirect, incidental, special, punitive or consequential losses arising from use of the Services or products purchased through the Services where such liability may lawfully be excluded.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.

Nothing in these Terms limits any statutory rights or remedies available to consumers under applicable consumer protection legislation.

SECTION 18 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless North Armoury, Shopify and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from third-party claims, losses, damages or reasonable legal costs arising directly from your material breach of these Terms, your unlawful use of the Services, or your violation of another person's rights.

We will provide reasonable notice of an indemnifiable claim and reasonable cooperation in its defence.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or severed to the extent necessary.

The remaining provisions will continue in effect.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision under these Terms does not constitute a waiver of that right or provision.

These Terms, together with policies or rules posted by North Armoury in connection with the Services, constitute the agreement between you and us concerning your use of the Services, subject to any additional terms applying to a particular transaction, promotion or product.

Nothing in this section limits rights that cannot be waived under applicable law.

SECTION 21 - ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent where such consent may lawfully be required.

North Armoury may transfer or assign its rights or obligations in connection with a sale, restructuring or transfer of the business or as otherwise permitted by law.

SECTION 22 - GOVERNING LAW

These Terms of Service and any separate agreements through which North Armoury provides the Services are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to any rights you may have under applicable consumer protection law to bring a proceeding elsewhere, disputes relating to these Terms or the Services will be subject to the jurisdiction of the courts of Ontario, Canada.

The headings used in these Terms are included for convenience only and do not limit or otherwise affect their interpretation.

You can review the current version of these Terms of Service on the Site.

We may update these Terms from time to time for operational, legal, regulatory or business reasons. Where required by applicable law, we will provide notice of material changes.

Changes will take effect when stated in the updated Terms or accompanying notice.

Your continued use of the Services after an update takes effect constitutes acceptance of the updated Terms to the extent permitted by applicable law.
